These Terms constitute a legally binding contract between you, the user or client (whether an individual or an entity, referred to herein as you or your), and Line Guide Trading Co., Ltd., a company formally registered in Yichang, China, with its registered office at 33 Dashi Street, Dongshi Town (2nd Floor), Yichang 443200, China (referred to herein as Line Guide, we, us, or our). If you are entering into these Terms on behalf of an organization, company, or other legal entity, you represent and warrant that you have the full legal authority to bind that entity to these Terms, and in such case the terms you and your shall refer to that entity as well as to you in your personal capacity.

If you do not agree with any provision of these Terms, you must immediately cease all access to and use of the Website and Services. Your decision to continue using the Website or Services after the effective date of these Terms, or after the effective date of any subsequent modification to these Terms, constitutes your unequivocal acceptance of these Terms and any amendments thereto. We reserve the right to refuse access to the Website or Services, or to terminate any account or relationship, at any time and for any reason, including but not limited to your failure to comply with these Terms. The Services are intended solely for users who are eighteen years of age or older and who possess the legal capacity to enter into binding agreements. By using the Website or Services, you affirm that you meet these eligibility requirements. You further acknowledge that these Terms are supported by reasonable and valuable consideration, the receipt and sufficiency of which you hereby acknowledge by your continued use of the Website and Services.

The specific scope, deliverables, timeline, and pricing for any engagement with Line Guide shall be set forth in a separate written agreement, statement of work, service level agreement, or proposal (collectively, a Service Agreement) executed by both parties. These Terms provide the general legal framework that governs all interactions between you and Line Guide, and any Service Agreement entered into by the parties is subject to and incorporates these Terms by reference, except to the extent that the Service Agreement expressly and specifically overrides a provision of these Terms in writing. Line Guide reserves the right to modify, expand, suspend, or discontinue any aspect of the Services, temporarily or permanently, at any time and without prior notice, provided that such changes shall not affect the terms of any active Service Agreement unless mutually agreed in writing. We continually invest in research, development, and innovation to enhance our service offerings, and as a result the descriptions of Services on our Website may evolve over time. You are responsible for reviewing the most current service descriptions available on our Website before entering into any engagement, and you acknowledge that general marketing materials on the Website are illustrative rather than prescriptive in nature.

3. Use of the Website

If your account is terminated for any reason, your right to use the Services shall immediately cease, and any data, content, or information associated with your account may be deleted or archived at our discretion, subject to our obligations under applicable law and any active Service Agreements. Line Guide may, but is not obligated to, retain certain information for legal, regulatory, tax, or operational purposes as described in our Privacy Policy.

5. Intellectual Property Rights

All content, materials, and features available on or through the Line Guide Website and Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, computer code, algorithms, design elements, layouts, color schemes, typography, user interfaces, photographs, illustrations, diagrams, architectural drawings, technical documentation, and the selection, arrangement, coordination, and enhancement thereof (collectively, the Content), are the exclusive property of Line Guide, Line Guide Trading Co., Ltd., its licensors, or its content suppliers, and are protected by applicable copyright, trademark, patent, trade secret, trade dress, moral rights, and other intellectual property and proprietary rights laws of the Peoples Republic of China, the United States, the European Union, and other relevant jurisdictions around the world. The compilation of all Content on the Website is the exclusive property of Line Guide and is protected by Chinese and international copyright laws.

5.1 Trademarks and Service Marks

The name Line Guide, the Line Guide logo, the diamond-shaped icon, the domain name lineguide.autos, and all related names, logos, product and service names, taglines, designs, and slogans displayed on the Website or used in connection with the Services are trademarks, service marks, registered trademarks, or trade dress of Line Guide Trading Co., Ltd. in China, the United States, and other countries. You may not use, reproduce, imitate, or display any of these marks without the prior express written permission of Line Guide in each instance. All other trademarks, service marks, product names, company names, and logos appearing on the Website are the property of their respective owners, and the display of such marks on the Website does not imply any endorsement, sponsorship, affiliation, or relationship between Line Guide and the respective owners unless expressly stated. Any unauthorized use of the Line Guide marks or any confusingly similar marks is strictly prohibited and may subject you to legal liability.

5.2 Proprietary Methodologies and Work Product

In the course of delivering computer systems design and related services, Line Guide employs proprietary methodologies, analytical frameworks, design patterns, architectural approaches, code libraries, algorithms, tools, templates, processes, and know-how that have been developed, refined, and accumulated over years of professional practice (collectively, Proprietary Materials). Unless otherwise expressly agreed in a signed Service Agreement, all Proprietary Materials used in or generated during the performance of Services shall remain the sole and exclusive property of Line Guide. Any deliverables, reports, designs, specifications, documents, software, or other work product created by Line Guide in the course of an engagement (collectively, Work Product) shall be owned by Line Guide, subject to the grant of a license to you as set forth in the applicable Service Agreement. You may use the Work Product solely for your internal business purposes in connection with the specific systems and environments for which the Services were engaged, and you may not resell, sublicense, publish, distribute, or otherwise make the Work Product available to any third party without the prior written consent of Line Guide.

5.3 Third-Party and Open Source Components

Certain components, libraries, modules, or tools incorporated into our Services or Work Product may be subject to third-party or open source licenses. Where such third-party components are used, the terms of the applicable license shall govern your rights and obligations with respect to those specific components, and nothing in these Terms shall be construed to restrict, modify, or diminish any rights you may have under such third-party or open source licenses. Line Guide makes no representations, warranties, or guarantees regarding the performance, safety, or legal status of any third-party or open source component, and you acknowledge that such components are provided on an as-is basis by their respective authors and licensors.

6. Acceptable Use Policy

Your use of the Website and Services must at all times comply with these Terms and with all applicable laws and regulations. You shall not remove, obscure, alter, or tamper with any copyright, trademark, patent, or other proprietary notices, labels, or legends affixed to or contained within any Content, Work Product, or materials provided by Line Guide. You are prohibited from using the Services to develop, build, or market any product, service, or technology that competes with or is substantially similar to the offerings of Line Guide. You shall not use the Services to process, store, or transmit any information or data that is subject to export control or trade sanction restrictions, or that may reasonably be considered sensitive personal information, protected health information, or data that is subject to heightened regulatory requirements, without first entering into a specific written agreement with Line Guide that addresses the additional obligations and safeguards required for such data. Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to the Website and Services, in addition to any other remedies available to Line Guide at law or in equity.

7. Confidentiality

In the course of your interactions with Line Guide, whether through the Website, during pre-engagement consultations, or during the performance of Services under a Service Agreement, each party may disclose or make available to the other party certain non-public, proprietary, or confidential information, including but not limited to trade secrets, business plans, financial data, technical specifications, system architectures, source code, client lists, employee information, strategic roadmaps, security protocols, and other information that is designated as confidential or that, under the circumstances surrounding its disclosure, a reasonable person would understand to be confidential (collectively, Confidential Information). The receiving party agrees to hold all Confidential Information of the disclosing party in strict confidence, to use such Confidential Information solely for the purpose of performing its obligations or exercising its rights under these Terms and any applicable Service Agreement, and to protect such Confidential Information using the same degree of care that it employs to protect its own confidential information of a similar nature, but in no event less than a reasonable degree of care under the circumstances.

The obligations of confidentiality set forth in this section shall not apply to information that: is or becomes publicly available through no wrongful act or omission of the receiving party; was rightfully in the possession of the receiving party prior to its disclosure by the disclosing party, as evidenced by contemporaneous written records; is rightfully obtained by the receiving party from a third party who is lawfully in possession of such information and who is not subject to a duty of confidentiality with respect to such information; or is independently developed by the receiving party without reference to or reliance upon the Confidential Information of the disclosing party, as demonstrated by competent written evidence. The receiving party may disclose Confidential Information to the extent required by applicable law, regulation, court order, or governmental authority, provided that the receiving party gives the disclosing party prompt written notice of such requirement, to the extent legally permissible, and cooperates with the disclosing party in any reasonable effort to obtain a protective order or other appropriate remedy to limit the scope of such disclosure. The obligations of confidentiality under this section shall survive the termination or expiration of any agreement between the parties for a period of five years, or indefinitely with respect to trade secrets and other information that constitutes a trade secret under applicable law.

8. Disclaimers and Warranties

THE LINE GUIDE WEBSITE AND SERVICES ARE PROVIDED ON AN AS IS, AS AVAILABLE, AND WITH ALL FAULTS BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LINE GUIDE, LINE GUIDE TRADING CO., LTD., AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUBSIDIARIES, LICENSORS, AND SUPPLIERS (COLLECTIVELY, THE LINE GUIDE PARTIES) EXPRESSLY DISCLAIM ALL WARRANTIES AND REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, SYSTEM INTEGRATION, ACCURACY OF INFORMATIONAL CONTENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, THE LINE GUIDE PARTIES MAKE NO WARRANTY THAT THE WEBSITE OR SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS; THAT ANY ERRORS, DEFECTS, OR INACCURACIES IN THE WEBSITE OR SERVICES WILL BE CORRECTED; OR THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE WEBSITE OR SERVICES WILL BE ACCURATE, RELIABLE, OR EFFECTIVE.

No advice, information, or communication, whether oral or written, obtained by you from Line Guide or through the Website or Services shall create any warranty not expressly stated in these Terms. Line Guide does not warrant, endorse, guarantee, or assume responsibility for any product, service, or information advertised, promoted, or offered by a third party through the Website or any linked third-party website. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for consequential or incidental damages, and accordingly some of the above limitations and disclaimers may not apply to you. 9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LINE GUIDE PARTIES BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR RELIANCE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, COMPUTER FAILURE OR MALFUNCTION, PERSONAL INJURY, PROPERTY DAMAGE, OR ANY OTHER COMMERCIAL OR ECONOMIC LOSS, WHETHER ARISING OUT OF OR IN CONNECTION WITH THE USE, INABILITY TO USE, OR PERFORMANCE OF THE WEBSITE OR SERVICES, OR ANY CONTENT, INFORMATION, PRODUCTS, OR SERVICES OBTAINED THROUGH THE WEBSITE, OR OTHERWISE ARISING OUT OF THE USE OF OR ACCESS TO THE WEBSITE OR SERVICES, REGARDLESS OF THE LEGAL THEORY UPON WHICH SUCH DAMAGES ARE CLAIMED (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, STATUTE, OR OTHERWISE), EVEN IF THE LINE GUIDE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF SUCH DAMAGES WERE REASONABLY FORESEEABLE.

The aggregate cumulative liability of the Line Guide Parties to you for all claims, causes of action, damages, losses, costs, and expenses arising out of or relating to these Terms, the Website, or the Services, whether based in contract, tort, negligence, strict liability, statute, or any other legal theory, shall in no event exceed the greater of (a) the total fees actually paid by you to Line Guide during the twelve-month period immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars (USD $100.00) if no fees have been paid for Services. The existence of multiple claims shall not enlarge or extend this limitation. The limitations and exclusions set forth in this section shall apply irrespective of whether the alleged liability or damages are based in contract, tort, negligence, strict liability, warranty, or any other basis, and shall survive any failure of essential purpose of any limited remedy. You acknowledge and agree that the allocation of risk reflected in this section is a material and essential element of the bargain between you and Line Guide, without which Line Guide would not have agreed to provide the Website or Services on the terms set forth herein.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Line Guide Parties from and against any and all claims, demands, suits, actions, proceedings, investigations, losses, liabilities, damages, judgments, settlements, costs, and expenses (including without limitation reasonable attorneys fees, expert witness fees, court costs, and other litigation-related expenses) arising out of or in any way connected with: your access to or use of the Website or Services; your violation or breach of any provision of these Terms or any applicable Service Agreement; your violation of any applicable law, regulation, rule, or ordinance; your infringement or misappropriation of any intellectual property right, proprietary right, or other right of any third party; any content, data, materials, or information that you upload, submit, transmit, or otherwise make available through the Website or Services; any negligence, willful misconduct, fraud, or misrepresentation committed by you or any person acting on your behalf; or any unauthorized use of your account, credentials, or access privileges by you or any third party.

Line Guide reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to fully cooperate with Line Guide in asserting any available defenses and in the conduct of such defense. You shall not settle, compromise, or consent to the entry of any judgment regarding any indemnified claim without the prior written consent of Line Guide, which consent shall not be unreasonably withheld, conditioned, or delayed, if such settlement, compromise, or judgment would impose any obligation, liability, or admission of fault on the part of Line Guide or would affect the rights or interests of Line Guide in any material respect. The indemnification obligations set forth in this section shall survive the termination or expiration of these Terms, any Service Agreement, and your use of the Website and Services, and shall continue to be enforceable in accordance with the governing law and dispute resolution provisions set forth elsewhere in these Terms.

The Line Guide Website may contain links to third-party websites, applications, platforms, tools, content, and services that are not owned, operated, controlled, or endorsed by Line Guide (collectively, Third-Party Services). 12. Termination

These Terms shall remain in full force and effect for as long as you access or use the Website or Services, or until terminated in accordance with this section. You may terminate these Terms at any time by permanently ceasing all access to and use of the Website and Services and, if you hold an account, by closing your account by contacting us at contact@lineguide.autos. Line Guide may, at its sole discretion and without prior notice or liability, terminate or suspend these Terms, your account, or your access to all or any portion of the Website or Services, immediately and at any time, with or without cause. Grounds for such termination may include, but are not limited to: your breach or violation of any provision of these Terms or any applicable Service Agreement; your failure to pay any fees when due; your engagement in any activity that is fraudulent, illegal, or harmful to Line Guide, its systems, its clients, or any third party; a request or directive from law enforcement or other governmental or regulatory authority; unexpected technical, security, or legal issues or problems; and discontinuance or material modification to the Services or any part thereof.

Upon termination of these Terms for any reason, all rights and licenses granted to you hereunder shall immediately terminate, and you shall immediately cease all access to and use of the Website and Services. You shall also promptly pay all amounts due and owing to Line Guide through the effective date of termination, and you shall promptly return or destroy, at Line Guides election, all Confidential Information and Work Product in your possession or control and certify in writing that you have done so. The obligation to pay amounts incurred prior to termination, as well as the provisions of these Terms that by their nature should survive termination, shall survive the termination or expiration of these Terms indefinitely or for the period specified therein. Such surviving provisions include, without limitation, the sections concerning Intellectual Property Rights, Confidentiality, Disclaimers and Warranties, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and General Provisions. Termination of these Terms shall not relieve you of any liability for any breach or violation of these Terms occurring prior to the effective date of termination, and Line Guide reserves all rights and remedies available at law or in equity with respect to any such breach or violation.

13. Governing Law

You acknowledge that the Website and Services are provided from, and our primary operations are conducted within, the Peoples Republic of China. If you choose to access the Website or Services from outside of the Peoples Republic of China, you do so on your own initiative and at your own risk, and you are solely responsible for complying with all applicable local laws, regulations, and ordinances in your jurisdiction of residence or access. You further acknowledge that the laws of the Peoples Republic of China may differ from the laws of your jurisdiction, including with respect to data privacy, content regulation, intellectual property protection, and dispute resolution procedures. Line Guide makes no representation that the Website, Services, or Content are appropriate, lawful, or available for use in all locations. You agree that you will not access, use, or attempt to access or use the Website or Services from any territory where such access or use would be illegal or would subject Line Guide to any registration, licensing, or compliance obligations in that territory.

In the event that any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent as closely as possible. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect as though the invalid provision had never been included. No waiver by Line Guide of any breach or default under these Terms shall be deemed a waiver of any preceding or subsequent breach or default. These Terms constitute the entire agreement and understanding between you and Line Guide concerning the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, negotiations, representations, and communications, whether oral or written, between the parties relating to the same subject matter.

14. Dispute Resolution

Line Guide is committed to addressing and resolving any concerns, complaints, or disputes that you may have regarding the Website, the Services, or these Terms in a fair, efficient, and cost-effective manner. In the event of any dispute, claim, question, or disagreement arising out of or relating to these Terms, the Website, or the Services (a Dispute), the parties shall first attempt in good faith to resolve the Dispute informally through negotiation. To initiate informal resolution, you must send a written notice describing the nature and basis of the Dispute, the specific relief sought, and your full contact information to Line Guide at contact@lineguide.autos. Line Guide may send a corresponding notice to you using the contact information associated with your account or most recent communication. The parties shall then have a period of sixty days from the date of receipt of the notice to engage in good-faith negotiations in an effort to resolve the Dispute amicably. Both parties agree that engaging in this informal dispute resolution process is a condition precedent to commencing any formal legal proceedings, including litigation or arbitration.

If the parties are unable to resolve the Dispute through informal negotiation within the sixty-day period, the Dispute shall be submitted to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its then-current Arbitration Rules. The seat and venue of the arbitration shall be Yichang, Hubei Province, Peoples Republic of China. The arbitration shall be conducted in the English language and before a single arbitrator mutually agreed upon by the parties, or, failing agreement within thirty days of the arbitration demand, appointed by CIETAC in accordance with its rules. The arbitrator shall have the authority to award the same damages and relief that a court of competent jurisdiction could award, including injunctive relief, but shall not have the authority to award punitive or exemplary damages except as expressly allowed by applicable statute. The arbitral award shall be final and binding upon the parties, and judgment upon the award may be entered in any court having jurisdiction thereof. You and Line Guide agree that any Dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, collective, or representative action, and you hereby waive any right to participate in or serve as a representative in any class action, class arbitration, or other representative proceeding against Line Guide.

15. Changes to These Terms

Line Guide reserves the right, at its sole discretion, to modify, amend, update, supplement, or replace these Terms at any time and from time to time, in whole or in part, as our business, technology, and legal environments evolve. When we make material changes to these Terms, we will post the revised Terms on this page and update the effective date at the top of the page. 18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, any applicable Service Agreement, and any other policies, rules, or guidelines expressly referenced and incorporated herein, constitute the sole, complete, and entire agreement and understanding between you and Line Guide with respect to the subject matter hereof. These Terms supersede and replace all prior and contemporaneous agreements, understandings, representations, warranties, negotiations, proposals, and communications, whether written or oral, between the parties relating to the subject matter covered by these Terms, and no such prior or contemporaneous material may be used to interpret, supplement, or contradict the express provisions set forth herein. You acknowledge and agree that you have not relied upon any statement, representation, warranty, or understanding, whether written or oral, made by Line Guide or any of its representatives, other than those expressly set forth in these Terms.

18.2 Severability

If any term, provision, covenant, or restriction of these Terms is held by a court, arbitrator, or other tribunal of competent jurisdiction to be invalid, void, illegal, or unenforceable for any reason, such provision shall be modified by the tribunal, to the minimum extent necessary, to render it valid, legal, and enforceable while preserving the original intent and economic effect of the provision as closely as possible. If such modification is not feasible, the offending provision shall be severed and eliminated from these Terms, and the remainder of these Terms shall continue in full force and effect, unaffected by the severance of the offending provision, and shall be construed and enforced as though such invalid, void, illegal, or unenforceable provision had never been a part hereof. The parties further agree that the court or tribunal may substitute for the invalid provision a valid and enforceable provision that most closely approximates the original intent and purpose of the invalid provision.

18.3 No Waiver

No failure, delay, or forbearance by Line Guide in exercising or enforcing any right, power, remedy, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, remedy, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, remedy, or privilege. No waiver of any breach, default, or violation of any provision of these Terms shall be deemed a waiver of any preceding, concurrent, or subsequent breach, default, or violation of the same provision or any other provision. Any waiver, to be effective, must be in writing and signed by a duly authorized officer of Line Guide Trading Co., Ltd., and must specifically identify the right or provision being waived. The rights, powers, remedies, and privileges provided in these Terms are cumulative and not exclusive of any rights, powers, remedies, or privileges provided by law or equity.

18.4 Assignment

You may not assign, transfer, delegate, sublicense, subcontract, or otherwise dispose of any of your rights, obligations, duties, or liabilities under these Terms, in whole or in part, whether by operation of law, merger, change of control, or otherwise, without the prior express written consent of Line Guide, which consent may be granted or withheld in Line Guides sole and absolute discretion. Any attempted assignment, transfer, delegation, or disposition in violation of this section shall be null and void and of no force or effect. Line Guide may freely assign, transfer, delegate, subcontract, or otherwise dispose of any or all of its rights, obligations, duties, or liabilities under these Terms, in whole or in part, without your consent and without notice to you, including in connection with any merger, acquisition, consolidation, reorganization, sale of all or substantially all of its assets, or any similar corporate transaction. Subject to the foregoing restrictions on assignment, these Terms shall inure to the benefit of and be binding upon the parties hereto and their respective successors and permitted assigns.

18.5 Force Majeure

Line Guide shall not be liable or responsible for any failure, delay, interruption, or non-performance of any obligation under these Terms or any Service Agreement to the extent that such failure, delay, interruption, or non-performance is caused by or results from any event, circumstance, or condition beyond the reasonable control of Line Guide, including but not limited to: acts of God; natural disasters; earthquakes; floods; fires; epidemics or pandemics; public health emergencies; acts of war (whether declared or undeclared); acts of terrorism; civil unrest; riots; insurrections; sabotage; cyberattacks; infrastructure failures; telecommunications or Internet disruptions or outages; national or regional emergencies; governmental actions or orders; changes in law or regulation; embargoes; blockades; labor disputes, strikes, or lockouts; and shortages of labor, materials, energy, utilities, or transportation. In the event of any such force majeure occurrence, Line Guide shall be excused from performance for the duration of the event and for a reasonable period of recovery thereafter, and the time for performance of any affected obligation shall be extended accordingly. Line Guide shall use commercially reasonable efforts to mitigate the effects of any force majeure event and to resume performance as promptly as reasonably practicable under the circumstances.

18.6 Relationship of the Parties

Nothing contained in these Terms shall be construed to create a partnership, joint venture, principal-agent relationship, employer-employee relationship, franchise relationship, or any other form of legal association between you and Line Guide that would impose liability upon one party for any act or omission of the other party, or that would authorize either party to enter into contracts, incur obligations, or make commitments or representations on behalf of the other party. Line Guide and you are independent contractors with respect to one another, and neither party has any authority to bind, obligate, or represent the other party in any manner whatsoever. You acknowledge that Line Guide provides computer systems design and related services as an independent professional services firm and that nothing in these Terms or any Service Agreement shall be interpreted as creating any employment, fiduciary, or agency relationship between the parties. Each party is solely responsible for its own expenses, taxes, insurance, benefits, and compliance with applicable laws and regulations.

18.7 Language and Interpretation

These Terms were originally drafted and published in the English language. In the event that a translation of these Terms into any other language is provided for convenience, the English version shall prevail and control in the event of any conflict, ambiguity, or discrepancy between the English version and any translated version. The parties hereby confirm that it is their express wish that these Terms and all related documents, notices, and proceedings be drafted, executed, and conducted in English. For purposes of interpretation, unless the context otherwise requires: words importing the singular number shall include the plural and vice versa; words importing any gender shall include all genders; the words including, includes, and include shall be deemed to be followed by the phrase without limitation; the words herein, hereof, hereto, and hereunder refer to these Terms as a whole; the word or shall be deemed to mean and/or; and all references to days shall mean calendar days unless expressly stated otherwise. The headings and section titles in these Terms are for convenience of reference only and shall not be used in the interpretation or construction of any provision. Each party acknowledges that it has had an adequate opportunity to review these Terms with legal counsel of its own choosing, and any rule of construction to the effect that ambiguities are to be resolved against the drafting party shall not apply in the interpretation of these Terms.
